Fernando Gorbea is a lawyer with more than 30 years of professional experience specializing in corporate finance and complex regulatory issues.
He currently advises local and international clients on the application of the Financial and Exchange Control Regulations issued by the Argentine Central Bank (BCRA). He is also specialized in the regulations of the National Securities Commission (CNV) that monitor the public offering and intermediation with negotiable securities, and in the regulations for the prevention of Asset Laundering and the Financing of Terrorism issued by the Financial Information Unit (UIF). Together with Osvaldo Jofré, he advises clients on personnel benefits such as corporate pension plans and stock options, and on personnel retention tools, such as remuneration in foreign currency. He also has extensive experience in corporate matters, including complex due diligence related to the sale of companies.
As part of his professional career, he has participated in numerous local and international financing operations, in issuances of negotiable securities (stocks, corporate bonds and financial trusts), debt restructurings, mergers and acquisitions and restructuring of staff benefit plans. He has represented clients in the defense of foreign exchange and capital market proceedings. He has recently provided advice on the new BCRA regulations on payment service providers that offer payment accounts (virtual wallets), operations with crypto assets and managers of credit platforms. He also represents clients who operate online gaming platforms.
Previously, Fernando Gorbea was a member of the Legal Department of Pluspetrol S.A. (1991-1993), he was part of the staff of lawyers specializing in capital markets at Muñoz de Toro & Muñoz de Toro (1994-1996), and in 1998 he was invited to work as a foreign lawyer at Linklaters, London office, England, where he gained direct experience in international practice. He was a senior lawyer and then a partner at the firm Cárdenas, Cassagne & Asociados (1997-2011), and later a founding partner of the firm CFGD Abogados (2011-2022).
At the academic level, he has had the opportunity to publish works related to his specializations and to teach at the Universidad Católica Argentina and at the UADE (seminar on Globalization and International Business). He was a guest panelist at the meeting of the IFA (International Fiscal Association) held in Buenos Aires and spoke on "Responsibility of Company Directors" in the context of the Río de la Plata Conference of the Argentine Association of Fiscal Studies. More recently, he has spoken at numerous "Webinars" on the impact of the new foreign exchange regulations issued in times of pandemic on the different areas of corporate business.
